A PT PMA (Perseroan Terbatas Penanaman Modal Asing) is the company structure that lets a foreign buyer hold freehold-equivalent property title in Bali. Registration runs through Indonesia's Online Single Submission (OSS) system and the core incorporation typically takes 4 to 6 weeks. A licensed Indonesian notary and incorporation firm can handle every step under your Power of Attorney, so no visit to Indonesia is required at any stage.

The minimum paid-up capital under BKPM Regulation No. 5 of 2025 is IDR 2.5 billion, around USD 150,000, reduced from the previous IDR 10 billion floor. The company must also carry a total investment plan exceeding IDR 10 billion per business code, though for a property company the value of land and buildings counts toward that figure. You need at least two shareholders, foreign individuals qualify, one director and one commissioner, plus a registered business address in Indonesia in the province where the company operates.

The setup follows a fixed sequence. Your notary reserves the company name and drafts the Deed of Establishment, which your attorney signs under Power of Attorney if you are abroad. The deed goes to the Ministry of Law for approval, then the OSS portal issues a Business Identification Number (NIB) and sector licenses. The company opens a local bank account and deposits the paid-up capital. After that, it applies to the National Land Agency (BPN) for Hak Guna Bangunan (HGB). Under Government Regulation 18 of 2021, HGB runs for an initial 30 years, extendable by 20, then renewable for a further 30, for up to 80 years in total.

Annual compliance covers corporate tax returns and quarterly LKPM investment reports filed with BKPM.
